On July 21, 2025, ZimVie Inc. (hereinafter referred to as "ZimVie"), a world-leading provider of dental solutions, announced that it had reached a definitive acquisition agreement with ARCHIMED, a global investment institution focused on the healthcare sector.

Pursuant to the agreement, ARCHIMED will acquire all of ZimVie's outstanding and issued shares at a cash consideration of $19.00 per share, with the total transaction valuation amounting to approximately $730 million. The offer represents a premium of 99% over the average closing price of ZimVie's shares in the past 90 trading days. The transaction has been unanimously approved by ZimVie's Board of Directors and is expected to be completed by the end of 2025. Upon completion, ZimVie will become a privately held company and delist from the Nasdaq Stock Market.

ZimVie was spun off from Zimmer Biomet, a global orthopedic giant, in 2022. Initially, it operated both spinal and dental businesses. Its core business covers dental implants, biomaterials and innovative digital surgical planning software, boasting a solid position in the global market. This acquisition is regarded as a crucial step for ZimVie to realize capital revaluation of its value following its strategic transformation.
The acquirer, ARCHIMED, is a private equity firm managing approximately €8 billion in assets, with a long-standing focus on the medical technology sector. It values ZimVie's brand foundation in the high-end dental implant market and the growth potential of its digital dental solutions. After privatization, ZimVie is expected to secure more patient capital and operational support, enabling it to increase investment in innovative fields such as digital dentistry and immediate implantology, and accelerate its global market expansion.
